Risk summary for non-readily realisable securities which are shares
\nEstimated reading time: 2 min
Due to the potential for losses, the Financial Conduct Authority (FCA) considers this investment to be high risk.
\nWhat are the key risks?
\n1. You could lose all the money you invest
\n• If the business you invest in fails, you are likely to lose 100% of the money you invested. Most start-up businesses fail.
\n2. You are unlikely to be protected if something goes wrong
\n• Protection from the Financial Services Compensation Scheme (FSCS), in relation to claims against failed regulated firms, does not cover poor investment performance. Try the FSCS investment protection checker here. https://www.fscs.org.uk/check/investment-protection-checker/
\n• Protection from the Financial Ombudsman Service (FOS) does not cover poor investment performance. If you have a complaint against an FCA-regulated firm, FOS may be able to consider it. Learn more about FOS protection here. https://www.financial-ombudsman.org.uk/consumers
\n3. You won’t get your money back quickly
\n• Even if the business you invest in is successful, it may take several years to get your money back. You are unlikely to be able to sell your investment early.
\n• The most likely way to get your money back is if the business is bought by another business or lists its shares on an exchange such as the London Stock Exchange. These events are not common.
\n• If you are investing in a start-up business, you should not expect to get your money back through dividends. Start-up businesses rarely pay these.
\n4. Don’t put all your eggs in one basket
\n• Putting all your money into a single business or type of investment for example, is risky. Spreading your money across different investments makes you less dependent on any one to do well.
\n• A good rule of thumb is not to invest more than 10% of your money in high-risk investments. https://www.fca.org.uk/investsmart/5-questions-ask-you-invest
\n5. The value of your investment can be reduced
\n• The percentage of the business that you own will decrease if the business issues more shares. This could mean that the value of your investment reduces, depending on how much the business grows. Most start-up businesses issue multiple rounds of shares.
\n• These new shares could have additional rights that your shares don’t have, such as the right to receive a fixed dividend, which could further reduce your chances of getting a return on your investment.

\nFickle consumer tastes, increased competition from rival brands (boosted by a tidal wave of PE money) and the decline of the high street have all put pressure on revenues and margins leading us to look for a company with a fresh approach towards hospitality.
',bodycopyImageArrangement:"left",portfolioContentSection:[{itemTitle:"Incipio",bodaycopy:"Since the launch of the first Pergola on a car park rooftop in Shepherd’s Bush in 2016, Charlie Gardiner and Ed Devenport have created a series of venues across London which bridge the gap between large scale dining concepts, local pubs and perfect party locations. Rather than taking on the food operations themselves, they built venues where hot new brands could be rotated in and out, ensuring that they stayed ahead of the latest food trends. This constant reinvention is boosted by the venues themselves which are transformed twice a year – for the summer and winter seasons – and often feature rooftop locations or open-air locations, allowing them to attract crowds year-round.
This ability to mitigate many of the challenges facing hospitality and to benefit from the rise of the experience economy made Incipio one of the most exciting investment opportunities we have come across to date. We felt that we could provide an additional layer of support to help them scale the business – guiding the team as they developed their central team and procedures, as well as shaping the business for an exit ahead of the next phase of growth.
We invested in the company in late 2017, when it had two venues in west London. Since then we have invested almost £5m into the business, to help drive its ambitious expansion plan. Today, the company has 6 venues across London, with another 4 venues currently under development. Revenues since they started in 2014 have increased more than 46 times, and we expect further significant growth next year as additional venues open.
